Agreement to Terms

Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for service delivery
- Grant necessary access to accounts, platforms, and systems
- Respond promptly to requests for information or approvals
- Make timely payments as agreed in service agreements
- Comply with all applicable laws and regulations
Payment Terms
Payment terms will be specified in individual service agreements. Generally:
- Payment is due according to the schedule outlined in your service agreement
- Late payments may result in service suspension
- All fees are non-refundable unless otherwise specified
- We reserve the right to change pricing with 30 days' notice
Intellectual Property
Unless otherwise agreed in writing:
- All work products created by us remain our property until full payment is received
- Upon full payment, you receive a license to use the work products for your business
- We retain the right to use work products in our portfolio and marketing materials
- You retain ownership of your brand assets, content, and data
Service Level and Performance

- We do not guarantee specific results or outcomes
- Digital marketing results vary based on numerous factors beyond our control
- We will use industry best practices and our expertise to achieve agreed-upon objectives
- Performance metrics and reporting will be provided as outlined in service agreements
Termination
Either party may terminate services with written notice:
- Termination notice period will be specified in your service agreement
- Upon termination, you remain responsible for all fees incurred up to the termination date
- We will provide a final report and transfer account access as applicable
- Confidentiality obligations continue after termination
Confidentiality
We agree to maintain confidentiality of your business information and will not disclose it to third parties except:
- As necessary to provide our services
- With your explicit consent
- As required by law
- Information that is publicly available or independently developed
Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
- We are not liable for indirect, incidental, or consequential damages
- We are not responsible for third-party platform changes or service interruptions
- You are responsible for backing up your data and content
Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:
- Your use of our services
- Your violation of these terms
- Your violation of any third-party rights
- Content or materials you provide to us
Modifications to Terms
We reserve the right to modify these terms at any time. We will notify you of significant changes via email or through our website. Continued use of our services after changes constitutes acceptance of the modified terms.
Governing Law
These terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts in Surat, Gujarat, India.
